What Is an Annual Report?

Not every state handles these reports the same way. While most require businesses to submit them annually, some states operate on a biennial (every two years) or even decennial (every ten years) schedule. For example, Pennsylvania requires decennial reports in addition to its ongoing filing requirements.
It’s also worth noting that many states require an initial report shortly after a new business is formed or qualified to operate in the state. These deadlines often come within 30 to 90 days of registration, so it’s important to stay on top of compliance right from the start.
Domestic vs Foreign Entity Reporting
The type of entity you operate—and whether it’s considered domestic or foreign in the state where it’s registered—can also impact your filing obligations. Domestic entities are formed within the state, while foreign entities are registered to do business in a state other than the one where they were originally formed.
